Terms of Service

These Terms of Service (the "Terms") form a binding agreement between you and TeamWarmUp LLC ("WarmUp," "we," "us," or "our") governing your use of the WarmUp application and related services (the "Service"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

You must be at least 18 years old, or the age of majority in your jurisdiction, to use the Service. By using the Service, you represent and warrant that you meet these requirements and that the information you provide is accurate and complete.

WarmUp is a fitness coaching platform that connects clients with personal trainers and provides AI-assisted workout tools to help make personalized training effortless. Features and functionality may change over time as we improve the Service.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use.

We use SMS one-time passcodes and other measures to help secure accounts, but you remain responsible for safeguarding access to your device and account.

You agree not to:

• Use the Service for any unlawful, harmful, or fraudulent purpose;
• Harass, abuse, or harm other users, including trainers or clients;
• Upload malicious code or attempt to disrupt or compromise the Service;
• Reverse engineer, scrape, or gain unauthorized access to the Service; or
• Impersonate any person or misrepresent your affiliation with anyone.

Certain features of the Service require a paid subscription. By purchasing a subscription, you authorize us(or the applicable app store) to charge the applicable fees using your selected payment method.

• Auto-renewal: Subscriptions automatically renew at the end of each billing period unless canceled beforehand.
• Cancellation: You may cancel at any time. Cancellation takes effect at the end of the current billing period, and access continues until then.
• Apple App Store purchases: Purchases made through the Apple App Store are governed by Apple's applicable terms and are managed in your Apple ID settings, where you can also turn off auto-renewal.

Except as required by law, fees are non-refundable.

WarmUp is not a medical provider, and the Service does not provide medical advice. All content and recommendations are for fitness and informational purposes only. Consult a physician before beginning any exercise program, especially if you have a medical condition or concern. You voluntarily assume all risks associated with physical activity. If you experience pain, dizziness, or discomfort, stop and seek medical attention.

WarmUp is a platform that connects clients with independent personal trainers. Trainers are independent third parties and are not employees or agents of TeamWarmUp LLC. We do not provide training services ourselves and are not responsible for the advice, programming, or conduct of any trainer or client. Any agreement for training services is solely between the client and the trainer.

You retain ownership of the content you submit to the Service (such as messages, programs, and profile information). By submitting content, you grant TeamWarmUp LLC a non-exclusive, worldwide, royalty-free license to host, store, display, and use that content solely to operate and provide the Service.

The Service, including its software, design, and trademarks, is owned by TeamWarmUp LLC and protected by intellectual property laws. We grant you a limited, revocable, non-transferable license to use the Service for your personal, non-commercial use, subject to these Terms.

We may suspend or terminate your access to the Service at any time if you violate these Terms or if we discontinue the Service. You may stop using the Service and delete your account at any time. Provisions that by their nature should survive termination will survive.

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure.

To the maximum extent permitted by law, TeamWarmUp LLC and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill arising from or related to your use of the Service. Our total liability for any claim will not exceed the amount you paid us in the twelve months preceding the claim.

You agree to indemnify and hold harmless TeamWarmUp LLC, its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your use of the Service or your violation of these Terms.

These Terms are governed by the laws of the State of [State], without regard to its conflict of laws principles. Any disputes arising from these Terms or the Service will be resolved in the state or federal courts located in [State], and you consent to the jurisdiction of those courts, except where prohibited by applicable law.

We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date above and, where appropriate, notify you within the app. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
